DASHBOARD TERMS OF USE

AGREEMENT TO THESE TERMS

We are Superagent Technologies, Inc. ("Superagent," "we," "us," "our"), a Delaware corporation located at 1111B S Governors Ave, Suite 3232, Dover, DE 19904, United States.

These Dashboard Terms of Use ("Terms") govern your access to and use of our dashboard located at https://superagent.sh (the "Dashboard"). The Dashboard allows you to create an account, view documentation, manage your profile, and access information about our products and services.

IMPORTANT NOTICE: These Terms govern free Dashboard access only. Use of our paid services requires acceptance of separate agreements:

  • API Services (Guard, Verify, Redact) require our API Services Agreement, Usage Policy, and Data Processing Agreement
  • Superagent Monitor requires a separate Monitor Services Agreement

Neither API services nor Monitor are covered by these Dashboard Terms.

By accessing or using the Dashboard, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Dashboard.

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and notify you through the Dashboard or by email. Your continued use after changes constitutes acceptance of the updated Terms.

1. DASHBOARD ACCESS

1.1 What the Dashboard Provides

The Dashboard is a free platform that allows you to:

  • Create and manage your Superagent account
  • Browse documentation about our Guard, Verify, and Redact API services and Superagent Monitor
  • View pricing information for our services
  • Manage your profile and account settings
  • Access support resources and technical documentation
  • View usage information (after upgrading to paid services)

1.2 What the Dashboard Does NOT Provide

Dashboard access does not include:

  • Access to Guard, Verify, or Redact API services
  • Access to Superagent Monitor services
  • The ability to process data through our APIs or Monitor platform
  • Any usage-based services

To use our API services, you must upgrade your account by adding payment information and accepting our API Services Agreement, Usage Policy, and Data Processing Agreement.

To use Superagent Monitor, you must enter into a separate Monitor Services Agreement.

1.3 Availability

The Dashboard is provided "as is" and "as available." We may modify, suspend, or discontinue any Dashboard features at any time without prior notice. We do not guarantee uninterrupted or error-free access to the Dashboard.

1.4 Jurisdictional Compliance

You are responsible for ensuring that your use of the Dashboard complies with all applicable laws in your jurisdiction. The Dashboard is not intended for use in any jurisdiction where such access would be prohibited by law.

2. INTELLECTUAL PROPERTY

2.1 Superagent's Ownership

The Dashboard and all content, features, and functionality are owned by Superagent and protected by United States and international intellectual property laws. This includes our source code, databases, software, website designs, text, graphics, logos, and trademarks (collectively, the "Superagent IP").

2.2 Limited License to You

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Dashboard for your personal or internal business purposes in evaluating our services. You may not:

  • Copy, modify, distribute, or create derivative works of the Dashboard or Superagent IP
  • Reverse engineer, decompile, or attempt to extract source code from the Dashboard
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use the Dashboard for any purpose other than evaluation of our services
  • Sell, rent, lease, or sublicense your Dashboard access
  • Frame, mirror, or replicate any portion of the Dashboard
  • Use any automated means (robots, scrapers, crawlers) to access the Dashboard without our prior written consent

2.3 Your Account Data

You retain all ownership rights to information you provide when creating and managing your account ("Account Data"), including your name, email address, and profile information. By using the Dashboard, you grant us a limited license to use your Account Data solely to:

  • Provide Dashboard access and functionality
  • Communicate with you about our services
  • Comply with legal obligations
  • Enforce these Terms

2.4 Feedback

If you provide us with suggestions, ideas, comments, or other feedback about the Dashboard or our services ("Feedback"), you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation or compensation to you.

3. YOUR RESPONSIBILITIES

By creating an account and using the Dashboard, you represent, warrant, and agree that:

3.1 Account Information

  • You will provide accurate, complete, and current information when creating your account
  • You will promptly update your account information if it changes
  • You will not provide false information or impersonate any person or entity
  • All information you provide complies with applicable laws and regulations

3.2 Legal Capacity and Authority

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • If you are accepting these Terms on behalf of a company or organization, you have the authority to bind that entity to these Terms

3.3 Compliance with Laws

  • Your use of the Dashboard complies with all applicable federal, state, local, and international laws and regulations
  • You will not use the Dashboard for any unlawful or prohibited purpose
  • You will comply with these Terms, our Privacy Policy, and our Cookie Policy

3.4 Account Security

  • You will maintain the confidentiality of your account credentials (username and password)
  • You will not share your account credentials with any other person
  • You are solely responsible for all activity that occurs under your account
  • You will immediately notify us at info@superagent.sh if you become aware of any unauthorized access to your account or any other security breach

4. PROHIBITED ACTIVITIES

You agree that you will not use the Dashboard to engage in any of the following prohibited activities:

4.1 Unlawful Activity

  • Violate any applicable laws, regulations, or third-party rights
  • Infringe or misappropriate the intellectual property rights of Superagent or others
  • Engage in any fraudulent, deceptive, or misleading practices
  • Harass, abuse, threaten, or intimidate any person

4.2 System Abuse and Security Violations

  • Attempt to gain unauthorized access to the Dashboard, our systems, or other user accounts
  • Use automated tools, bots, scrapers, or other means to access the Dashboard without permission
  • Interfere with, disrupt, or impose an unreasonable burden on the Dashboard's operation or infrastructure
  • Introduce viruses, malware, trojan horses, worms, or other harmful code
  • Bypass, circumvent, or attempt to disable any security features or access controls
  • Probe, scan, or test the vulnerability of the Dashboard or any related system

4.3 Account Misuse

  • Share your account credentials with others or allow others to use your account
  • Create accounts using false, misleading, or inaccurate information
  • Create multiple accounts to evade restrictions or enforcement actions
  • Use the Dashboard to send spam, unsolicited communications, or engage in phishing
  • Impersonate Superagent, our employees, or other users

4.4 Commercial Misuse

  • Use the Dashboard for any purpose other than evaluating our services for potential use
  • Resell, sublicense, rent, or redistribute Dashboard access to third parties
  • Use information obtained from the Dashboard for competitive intelligence or to develop competing products
  • Access the Dashboard to monitor its availability, performance, or functionality for competitive purposes

4.5 Enforcement

We reserve the right to investigate any suspected violations of these prohibitions and to take appropriate action, including suspending or terminating your account, with or without notice. We may also report suspected unlawful activity to law enforcement authorities.

5. OUR MANAGEMENT RIGHTS

5.1 Monitoring and Enforcement

We reserve the right, but have no obligation, to:

  • Monitor Dashboard usage for compliance with these Terms
  • Investigate suspected violations of these Terms or applicable laws
  • Take appropriate action against users who violate these Terms, including warnings, account suspension, or termination
  • Remove or disable access to any content or information that violates these Terms
  • Cooperate with law enforcement authorities and comply with legal process

5.2 Service Modifications

We may at any time, without notice:

  • Modify, update, or discontinue any Dashboard features or functionality
  • Change the availability, performance, or appearance of the Dashboard
  • Impose limits on certain features or restrict access to parts of the Dashboard
  • Perform maintenance or updates that may temporarily interrupt Dashboard access

5.3 No Obligation to Monitor

We have no obligation to monitor the Dashboard, user accounts, or user activity. We are not responsible for content or conduct that may violate these Terms, even if we become aware of it.

5.4 No Liability for Enforcement Actions

We are not liable for any actions we take or fail to take with respect to user accounts, Dashboard access, or enforcement of these Terms.

6. PRIVACY AND DATA PROTECTION

6.1 Privacy Policy

Our Privacy Policy explains how we collect, use, protect, and share your Account Data. The Privacy Policy is incorporated into these Terms by reference. By using the Dashboard, you consent to our data practices as described in the Privacy Policy.

6.2 Controller Relationship

For your Account Data (including your name, email address, login credentials, and Dashboard usage information), Superagent acts as a data "Controller" under applicable privacy laws, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA). This means we determine how this data is processed and are responsible for its protection.

6.3 Data Processing for Paid Services

If you upgrade to our API services, a different data relationship applies. When you submit Customer Data through our APIs, Superagent acts as a data "Processor" on your behalf. Our Data Processing Agreement governs that relationship and is incorporated into the API Services Agreement.

Superagent Monitor has its own data processing terms set forth in the Monitor Services Agreement.

Both agreements are separate from these Dashboard Terms.

6.4 Cookie Policy

We use cookies and similar tracking technologies on the Dashboard to provide functionality, analyze usage, and improve your experience. For detailed information about the cookies we use and how to control them, see our Cookie Policy.

6.5 Communications

By creating an account, you consent to receive electronic communications from us, including emails about Dashboard updates, service announcements, and (if you opt in) marketing communications. You may opt out of marketing communications at any time by following the unsubscribe instructions in those emails.

7. TERM AND TERMINATION

7.1 Term

These Terms take effect when you first access the Dashboard and remain in effect as long as you use the Dashboard. Your free Dashboard account will remain active until terminated by you or us as described below.

7.2 Termination by You

You may terminate your account and these Terms at any time by:

  • Using the account deletion feature in your Dashboard settings, or
  • Sending a termination request to info@superagent.sh

Upon termination, your Dashboard access will cease immediately.

7.3 Termination by Us

We may suspend or terminate your Dashboard access immediately, with or without notice, for any reason, including if:

  • You violate any provision of these Terms
  • You engage in fraudulent, abusive, or unlawful activity
  • We suspect your account has been compromised
  • We decide to discontinue the Dashboard or limit access
  • We are required to do so by law or legal process
  • We determine, in our sole discretion, that continued access poses a risk

7.4 Effect of Termination

Upon termination of these Terms:

  • Your license to access and use the Dashboard terminates immediately
  • You must cease all use of the Dashboard
  • We may (but are not obligated to) delete your Account Data after 90 days, as described in our Privacy Policy
  • If you have upgraded to paid API services or subscribed to Superagent Monitor, those services are governed by their respective Services Agreements and will be handled according to the termination provisions in those agreements

7.5 Survival

The following sections survive termination of these Terms: Section 2 (Intellectual Property), Section 6 (Privacy and Data Protection), Section 8 (Changes to Terms and Dashboard), Section 9 (Governing Law), Section 10 (Dispute Resolution), Section 11 (Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), and Section 14 (Miscellaneous).

7.6 No Refunds

Because Dashboard access is free, no refunds or credits are applicable upon termination. If you have upgraded to paid API services or subscribed to Superagent Monitor, any refund rights are governed by the applicable Services Agreements, not these Dashboard Terms.

8. CHANGES TO TERMS AND DASHBOARD

8.1 Changes to These Terms

We may update, modify, or replace these Terms at any time. We will notify you of material changes by:

  • Updating the "Last Updated" date at the top of these Terms
  • Posting a notice in the Dashboard, and/or
  • Sending an email to the address registered to your account

Your continued use of the Dashboard after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Dashboard and may terminate your account as described in Section 7.2.

8.2 Changes to the Dashboard

We may modify, update, suspend, or discontinue any aspect of the Dashboard at any time without notice. This includes:

  • Adding, removing, or changing Dashboard features and functionality
  • Changing the Dashboard's availability, performance, or appearance
  • Updating the user interface or user experience
  • Imposing new limits or restrictions on Dashboard use

8.3 Interruptions and Downtime

The Dashboard may be unavailable from time to time due to:

  • Scheduled maintenance or updates
  • Technical issues or system failures
  • Circumstances beyond our reasonable control

We do not guarantee continuous, uninterrupted, or error-free access to the Dashboard.

8.4 Corrections

There may be information on the Dashboard that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without notice.

8.5 No Liability

We are not liable for any modifications, interruptions, downtime, or discontinuance of the Dashboard, whether temporary or permanent.

9. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or the Dashboard will be resolved in accordance with Section 10 (Dispute Resolution).

10. DISPUTE RESOLUTION

10.1 Informal Resolution First

Before initiating any formal dispute resolution process, you agree to first contact us at info@superagent.sh to attempt to resolve the dispute informally. We will work in good faith with you to reach a mutually acceptable resolution. If we cannot resolve the dispute informally within 30 days, either party may proceed with arbitration as described below.

10.2 Binding Arbitration

Except as specified in Section 10.3, any dispute, claim, or controversy arising from or relating to these Terms or the Dashboard will be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

The arbitration will be conducted as follows:

  • Location: Delaware, United States
  • Arbitrator: A single arbitrator will be selected in accordance with AAA rules
  • Decision: The arbitrator's decision is final and binding on both parties
  • Fees: Fees will be allocated in accordance with AAA Consumer Rules. If the arbitrator determines that your fees are excessive, we will pay your arbitration fees and expenses
  • Governing Law: The arbitrator will apply Delaware law consistent with the Federal Arbitration Act

10.3 Exceptions to Arbitration

The following disputes are NOT subject to arbitration and may be brought in court:

  • Disputes seeking to enforce or protect, or concerning the validity of, any intellectual property rights of either party
  • Claims for injunctive relief or other equitable remedies
  • Individual actions in small claims court (if the claim qualifies for small claims court jurisdiction)

10.4 Waiver of Jury Trial and Class Actions

BY AGREEING TO ARBITRATION, YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY. You also agree that disputes will be resolved on an individual basis and not as part of any class action, consolidated action, representative action, or private attorney general action. There is no right or authority for any dispute to be brought, heard, or arbitrated as a class action or consolidated proceeding.

10.5 Limitation Period

Any claim arising from or relating to these Terms or the Dashboard must be filed within one (1) year after the cause of action arises. After this one-year period, such claims are permanently barred.

10.6 Opt-Out Right

You have the right to opt out of the arbitration agreement in Section 10.2 by sending written notice of your decision to opt out to info@superagent.sh within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, all other provisions of these Terms remain in effect, and any disputes will be resolved in court as described in Section 10.7.

10.7 Fallback Jurisdiction

If the arbitration provisions in Section 10.2 are found to be invalid, unenforceable, or inapplicable to a particular dispute, or if you opt out of arbitration, then any such dispute will be brought exclusively in the state or federal courts located in Delaware, United States. You consent to the personal jurisdiction of these courts and waive any objection to venue in these courts.

11. DISCLAIMERS

11.1 "AS IS" and "AS AVAILABLE"

THE DASHBOARD IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS.

11.2 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUPERAGENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
  • Warranties regarding quality, accuracy, or reliability of the Dashboard's content, features, or functionality
  • Warranties of uninterrupted or error-free operation of the Dashboard
  • Warranties regarding security of the Dashboard or the safety of your information
  • Warranties that defects will be corrected or that the Dashboard is free from viruses, bugs, or other harmful components

11.3 Use at Your Own Risk

You acknowledge and agree that:

  • Your use of the Dashboard is at your sole risk
  • The Dashboard may not meet your requirements or expectations
  • Any information or content obtained through the Dashboard may not be accurate or reliable
  • The Dashboard may be unavailable at any time
  • We make no guarantees about the availability, performance, or functionality of the Dashboard

11.4 No Advice or Warranties from Representatives

No advice or information, whether oral or written, obtained by you from Superagent or through the Dashboard will create any warranty not expressly stated in these Terms.

11.5 Third-Party Content and Links

The Dashboard may contain links to third-party websites, services, or resources. We are not responsible for and do not endorse any third-party content, and we are not liable for any damages or losses arising from your use of or reliance on third-party websites, services, or resources.

11.6 State Law Variations

Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights of a consumer. In such jurisdictions, some or all of the above disclaimers and exclusions may not apply to you, and you may have additional rights.

12. LIMITATION OF LIABILITY

12.1 Exclusion of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUPERAGENT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, business, or anticipated savings
  • Loss of data or information
  • Loss of business opportunity or goodwill
  • Costs of procurement of substitute services
  • Any other intangible losses

This exclusion applies regardless of the legal theory on which any claim is based (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

12.2 Liability Cap for Free Dashboard Accounts

FOR USERS WITH FREE DASHBOARD ACCOUNTS, SUPERAGENT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE DASHBOARD, REGARDLESS OF THE FORM OF ACTION OR LEGAL THEORY, WILL NOT EXCEED ONE HUNDRED DOLLARS ($100 USD).

12.3 Liability for Paid Services

If you have upgraded to our paid API services or subscribed to Superagent Monitor, liability limits for those services are governed by the applicable Services Agreements, not these Dashboard Terms. Each Services Agreement contains separate liability provisions applicable to its respective services.

12.4 Basis of the Bargain

You acknowledge that the limitations and exclusions in this Section 12 reflect a reasonable allocation of risk between you and Superagent and that the fees charged for the Dashboard (none for free accounts) would be substantially higher without these limitations. These limitations are a fundamental basis of our agreement.

12.5 Causes Not Subject to Limitation

The limitations in this Section 12 do not apply to:

  • Liabilities that cannot be excluded or limited under applicable law
  • Our obligations under Section 13 (Indemnification) if you breach these Terms
  • Damages arising from our gross negligence or willful misconduct (where permitted by law)

12.6 State Law Variations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

13. INDEMNIFICATION

13.1 Your Indemnification Obligation

You agree to defend, indemnify, and hold harmless Superagent and its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the "Superagent Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including reasonable attorneys' fees and costs) arising from or relating to:

  • Your access to or use of the Dashboard
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Your violation of any intellectual property or other proprietary rights of any person or entity
  • Any information or content you provide through your account
  • Any misrepresentation made by you
  • Any disputes or issues between you and any third party

13.2 Indemnification Process

We will provide you with prompt written notice of any claim subject to indemnification, provided that failure to provide prompt notice will not relieve you of your indemnification obligations except to the extent you are materially prejudiced by the delay.

You will have the right to control the defense of any such claim, provided that:

  • You may not enter into any settlement that imposes any obligation or liability on Superagent without our prior written consent
  • We may, at our option and expense, participate in the defense of any claim with counsel of our choice
  • You will cooperate with us in the defense of any claim

If you fail to assume the defense of a claim, we may defend the claim at your expense.

13.3 Survival

This indemnification obligation survives termination of these Terms and your use of the Dashboard.

14. MISCELLANEOUS

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy (each incorporated by reference), constitute the entire agreement between you and Superagent regarding your access to and use of the Dashboard. These Terms supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Dashboard.

14.2 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable for any reason, that provision will be eliminated or limited to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Superagent.

14.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations under these Terms without our prior written consent. Any attempted assignment without such consent will be null and void.

We may assign, transfer, or delegate these Terms and our rights and obligations without restriction, including to any affiliate or in connection with any merger, acquisition, reorganization, or sale of assets, and you consent to any such assignment, transfer, or delegation.

14.5 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and Superagent.

14.6 No Agency Relationship

Nothing in these Terms creates any agency, partnership, joint venture, fiduciary, or employment relationship between you and Superagent. You have no authority to bind Superagent or make commitments on our behalf.

14.7 Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.8 Notices

All notices to Superagent under these Terms must be sent to info@superagent.sh or by certified mail to our address listed in Section 15.

We may provide notices to you by email to the address associated with your account or by posting notices in the Dashboard. Notices provided by email are deemed given when sent; notices posted in the Dashboard are deemed given when posted.

You are responsible for ensuring that your email address on file with us is current and that you receive and read our notices.

14.9 California Residents

If you are a California resident and have a complaint regarding the Dashboard, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

14.10 Export Control and Sanctions

You may not use the Dashboard if you are:

  • Located in, or a national or resident of, any country subject to a U.S. government embargo or designated as a "terrorist supporting" country by the U.S. government
  • On any U.S. government list of prohibited or restricted parties, including the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Persons List or Entity List

You represent that you are not subject to these restrictions and will comply with all applicable export control and sanctions laws.

14.11 Language

These Terms are written in English. Any translated version is provided for convenience only. In the event of any conflict between the English version and a translated version, the English version will control.
